BEACH HARVEST COLLECTIVE OPERATING AGREEMENT for Casey's Granola LLC

This Affiliate Program Operating Agreement (the “Agreement”) contains the complete terms and conditions that govern your participation in the creator and referral program (the “Program”) for our brand. “We,” “us,” “our,” or “Brand” means your Shopify store (currently transitioning to Beach Harvest). “You,” “your,” or “Member” means the applicant applying to join the Beach Harvest Collective.

BY CHECKING THE BOX INDICATING THAT YOU AGREE TO THESE TERMS AND CONDITIONS, YOU AGREE TO BE FULLY BOUND BY THIS AGREEMENT.

1. Enrollment & Eligibility

  • To begin the enrollment process, you must submit a complete and accurate Program application via our GoAffPro signup page.

  • We review every application manually to ensure alignment with our clean-label, real-food nutrition and coastal lifestyle aesthetic. We reserve the right to accept or reject any application at our sole discretion.

  • You must be at least 18 years old and a resident of the United States to participate.

2. Member Perks & Personal Discount Rules

  • Personal Use Discount: Approved members will receive a unique 20% discount code intended solely for personal orders to keep you fueled. This code is strictly confidential and cannot be shared publicly, or with friends and family. Abuse of this personal discount will result in immediate termination from the Program.

  • Community Referral Code: Members will be issued a unique tracking link and a 10% discount code to share openly with their social media followers, friends, family, and communities.

3. Referral Tracking & Commissions

  • Commission Rate: You will earn a 10% cash commission on Qualifying Purchases. A "Qualifying Purchase" occurs when a customer completes a checkout on our store using either your unique tracking link or your custom 10% discount code.

  • Net Sales Valuation: Commissions are calculated strictly based on the net product subtotal after discounts are applied, and excluding shipping fees, sales taxes, or transaction processing fees.

  • Holding Period & Payout Schedule: To account for any customer product returns, cancellations, or shipping adjustments, all commissions are subject to a standard 30-day holding period. Cleared commissions are processed and paid out on or around the 1st of each calendar month via PayPal (e.g., commissions earned in June will clear and be distributed on August 1st). You must provide a valid PayPal email address in your portal profile to receive payments.

4. Prohibited Marketing Activities (No Coupon Scraping)

  • Coupon Aggregator Ban: You are strictly prohibited from submitting, uploading, or publishing your unique 10% referral discount code or tracking link to public coupon-sharing websites (including, but not limited to, Honey, RetailMeNot, CouponCabin, or Capital One Shopping).

  • Paid Advertising Restrictions: You may not run paid search ads (such as Google Ads, Bing Ads, or Meta Ads) that target our brand name, misspellings, or direct variations of our brand keyword to generate traffic to your referral link.

  • Enforcement: Any sales tracked back to coupon aggregator sites or unauthorized ad bidding will be voided instantly. No commission will be paid on these orders, and your account will be permanently banned from the Collective.

5. Intellectual Property & Content Usage Rights

By posting content (photos, videos, Reels, TikToks, or captions) that tags our brand account, mentions our products, or uses your assigned Beach Harvest Collective tracking details, you grant the Brand the following non-exclusive rights:

  • Organic Channel Usage: You grant the Brand a royalty-free, perpetual, worldwide license to repost, share, and utilize your media across our official organic social channels (Instagram, TikTok, Facebook), email marketing newsletters, and website storefront, with prominent credit and tagging back to your creator profile.

  • Paid Advertising Rights (90 Days): You grant the Brand the right to use your content for paid social media advertising (e.g., Meta Ads Manager, TikTok Spark Ads, or boosting posts) for a period of up to 90 days from the date the content was originally posted. Extended paid ad usage beyond 90 days may be negotiated separately between both parties.

6. Strict FTC Disclosure Compliance

The Federal Trade Commission (FTC) requires that whenever you promote our products using your code or link, you must clearly and conspicuously disclose your material financial connection to our brand so your audience understands you earn a commission.

  • Feed Posts, Reels, & TikToks: You must place a clear, unambiguous disclosure (such as #ad, #sponsored, or #affiliate) at the very beginning of your caption or video text overlay. It must appear before the text is truncated by a "See More" button. Burying disclosures at the bottom of a hashtag cloud is a violation of this agreement.

  • Instagram/TikTok Stories: A clear, high-contrast text overlay (e.g., #ad) must be plainly visible on the story frame. Built-in platform "Paid Partnership" tags are encouraged but do not replace the need for an explicit visual text disclosure under FTC guidelines.

  • Termination for Non-Compliance: Failure to properly disclose your affiliate relationship will result in the immediate suspension of your tracking codes and the forfeiture of any pending commissions.

7. Term and Termination

  • Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice (email notice is completely acceptable).

  • Upon termination, your tracking codes will be immediately deactivated. Any legally earned, undisputed commissions remaining in your account will be paid out during the next standard monthly payout cycle.
